These terms govern your use of shft, a Mac-to-Mac migration and endpoint backup tool developed by Machinery Software LLC ("Machinery," "we," "us"). By purchasing, downloading, or using shft, you agree to these terms.
License grant
When you purchase shft, we grant you a limited, non-exclusive, non-transferable license to use the software according to the tier you purchased:
Personal ($49, one-time). You may install and activate shft on up to two (2) Macs that you personally own or control. You may deactivate a device at any time to free a slot for a different Mac. This license does not expire. You may perform unlimited migrations. This license covers the migration features of shft. Backup and continuous data protection features, when available, require a separate subscription.
IT Pro Packs ($199 / $399 / $649, one-time). You receive a set number of migration credits (10, 25, or 50). Each credit entitles you to one Mac-to-Mac migration. Credits do not expire. Credits may be used across any devices you manage, including devices owned by clients if you are a managed service provider (MSP) or IT consultant. Credits are tied to your license key and are not transferable to another key.
Business ($2/device/month, subscription). You may install and activate shft on any number of Macs within your organization, subject to the device count on your subscription. All features are included — migration, encrypted backup, cloud storage, IdP integration, litigation hold, forensic export, and admin portal. Your license remains active for the duration of your subscription. If your subscription lapses, you have a seven (7) day grace period during which the software continues to function. After the grace period, backup and subscription-gated features are disabled until the subscription is renewed. Migration features that were available before the subscription remain functional. Your data is never deleted or modified due to a lapsed subscription.
Data access guarantee. Regardless of your license or subscription status, you always retain the ability to decrypt, browse, and export data from your existing vaults. A lapsed subscription disables future backups and subscription-gated features — it never locks you out of data you have already backed up. Your vault encryption keys are derived from your credentials and stored locally, not controlled by our licensing infrastructure. If you cancel your subscription, you can still restore files from your vault at any time using the shft app.
What you may not do
You may not reverse engineer, decompile, or disassemble the software, except to the extent that applicable law expressly permits despite this limitation. You may not share, redistribute, sublicense, or publicly post your license key. You may not use automated tools to generate, guess, or enumerate license keys. You may not remove or alter any proprietary notices, labels, or marks on the software.
We reserve the right to revoke license keys that are shared publicly or used in violation of these terms.
Your data
shft processes your files locally on your device. When you use the backup features, your data is encrypted on your device before it is written to storage targets that you configure and control (external drives, S3 buckets, B2 buckets, or other storage you provide). Machinery does not host, store, access, or have the ability to decrypt your backup data.
You are solely responsible for maintaining access to your storage targets and encryption keys. If you lose your encryption key or access to your storage, Machinery cannot recover your data.
Payment and refunds
All purchases are processed by Stripe. Prices are in US dollars. Applicable taxes may be added at checkout.
Refund policy. We offer a 30-day, no-questions-asked refund for Personal licenses and IT Pro Packs purchased directly from us. To request a refund, email hello@machinery.software with your license key or the email address used at purchase. Refunds are issued to the original payment method via Stripe.
For Business subscriptions, you may cancel at any time. Cancellation takes effect at the end of your current billing period. We do not issue prorated refunds for partial months.
If you received shft through a reseller or third-party channel, the refund policy of that seller applies instead.
Software updates
Your license entitles you to all updates to the major version of shft that was current at the time of purchase. We may release future major versions that require a separate purchase or upgrade fee, but we will announce any such change in advance. Bug fixes and security patches for your licensed version are always free.
Availability and support
shft is provided as a downloadable application. We do not guarantee uninterrupted availability of the licensing API, but we make reasonable efforts to maintain uptime. The software is designed to function offline for up to seven (7) days after the last successful license validation.
Support is available via email at hello@machinery.software. We aim to respond within two (2) business days. Business subscribers receive priority support.
Disclaimer of warranties
shft is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free, that migrations will be complete or lossless, or that the software will be compatible with all hardware or software configurations.
You are responsible for maintaining independent backups of your data. We strongly recommend verifying migrated data after each migration.
Limitation of liability
To the maximum extent permitted by applicable law, Machinery Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of shft, regardless of the theory of liability.
Our total cumulative liability to you for all claims arising out of or relating to these terms or your use of shft shall not exceed the amount you paid for your license in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Machinery Software LLC, its officers, and its contractors from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of shft in violation of these terms or applicable law.
Modifications to these terms
We may update these terms from time to time. We will post the updated terms on this page with a revised "last updated" date. Material changes will be communicated via the email address associated with your license at least thirty (30) days before they take effect. Your continued use of shft after the effective date constitutes acceptance of the updated terms.
Governing law
These terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Ottawa County, Michigan.
Termination
We may terminate your license if you materially breach these terms and fail to cure the breach within fifteen (15) days of receiving written notice. Upon termination, you must uninstall shft from all devices. Termination does not affect your ownership of any data that was migrated or backed up using shft prior to termination.
